Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AlphinTech Ltd. ("ReoBiz," "we," "our," or "us"), governing your use of the ReoBiz platform at reobiz.com and apps.reobiz.com (collectively, the "Services").

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. The Services

ReoBiz is a cloud-based business management platform offering 16 integrated modules:

• Core Business: Invoicing & Billing, Finance & Accounting, Sales CRM
• Operations: Inventory Management, Manufacturing, Procurement, Supply Chain
• Logistics & Field: Logistics, Field Service, Helpdesk
• Intelligence & More: HR & Payroll, Project Management, BI & Reporting, Documents, Customer Portal

We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice. We will provide at least 90 days' notice before discontinuing any module currently in your subscription.

3. User Accounts

3.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

3.2 Account Requirements

• You must be at least 18 years old or the age of legal majority in your jurisdiction.
• You must provide a valid business email address.
• You are responsible for all users added to your account and their compliance with these Terms.
• You must promptly notify us of any unauthorized use of your account.

4. Subscriptions & Billing

4.1 Plans & Pricing

ReoBiz offers individual module pricing and bundled plans as described on our Pricing page. All plans include 10 users per module. Additional users can be purchased.

4.2 Free Tier

4.3 Billing

• Paid subscriptions are billed monthly or annually in advance.
• Annual subscriptions receive a 17% discount.
• All fees are in USD and are non-refundable except as required by law.
• We may adjust pricing with 30 days' notice. Price changes apply at the next billing cycle.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your access continues until the end of the current billing period. Your data remains available for export for 30 days after cancellation.

5. Data Ownership

5.1 License to Us

You grant us a limited license to access, use, and process your data solely to provide and improve the Services. This includes:

• Operating the platform and all modules you subscribe to.
• Generating AI-powered insights and automations within your account.
• Creating anonymized, aggregated statistics (your individual data is never shared).
• Creating backups and maintaining data integrity.

5.2 Data Portability

You can export your data in standard formats (CSV, JSON, PDF) at any time through the platform. Upon account termination, we will assist with data export upon request.

6. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to other users' accounts or our systems.
• Upload malicious code, viruses, or other harmful content.
• Reverse-engineer, decompile, or attempt to extract the source code of the platform.
• Use the Services to store or transmit content that infringes third-party intellectual property.
• Resell, sublicense, or redistribute the Services without written permission.
• Use automated tools to scrape or extract data from the platform beyond approved APIs.

7. Service Level Agreement

For paid subscribers, we commit to the following service levels:

• Uptime: 99.9% monthly uptime guarantee (excluding scheduled maintenance).
• Scheduled Maintenance: We provide at least 48 hours' notice for planned maintenance, scheduled during off-peak hours.
• Support Response:
  • Essential plan: Email support, 24-hour response time
  • Professional plan: Priority support, 4-hour response time
  • Enterprise plan: 24/7 support, 1-hour response time with dedicated account manager
• Data Backups: Automated daily backups with 30-day retention for all plans.

If we fail to meet the 99.9% uptime guarantee, affected customers may request service credits proportional to the downtime.

8. Intellectual Property

The ReoBiz platform, including all software, designs, trademarks, logos, and documentation, is the exclusive property of AlphinTech Ltd. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Services as intended.

All feedback, suggestions, or ideas you provide about the Services may be used by us without obligation to you.

9. Termination

9.1 By You

You may terminate your account at any time by contacting support or through account settings. We will provide access to your data for 30 days after termination.

9.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use policy.
• Fail to pay fees when due (after 15 days' notice).
• Engage in activity that threatens the security or integrity of the platform.

In the event of termination for cause, we will provide 30 days' notice and allow data export before account closure, unless immediate action is required for security reasons.

10. Limitation of Liability

To the maximum extent permitted by law:

• ReoBiz is provided "as is" without warranties of any kind, express or implied.
• We are not liable for indirect, incidental, special, or consequential damages arising from your use of the Services.
• Our total liability is limited to the amount you paid us in the 12 months preceding the claim.
• We are not responsible for data loss caused by your actions or third-party integrations you enable.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be resolved in the courts of London, England, unless otherwise agreed in writing.

For EU users: nothing in these Terms affects your statutory rights under applicable EU consumer protection laws.
